PROJECT FINANCE LAWYER

Our client is one of the most prominent and vastly developing investors in the RES sector in the world, with large operations in Poland, Hungary, and other locations around the world. For its  Warsaw Legal Project Finance team we are now looking for a Project Finance Lawyer with experience in M&A and Project Finance in the Renewable energy sector.

You will be part of a 15 person legal team from different specialisations, reporting to the head of Legal Project Finance.

REQUIREMENTS:

3+ years of experience in legal project finance and RES projects development;

·       Problem-solver, pro-active and results-oriented;

·       Ability to manage multiple projects simultaneously;

·       Ability and proven experience to think creatively and develop innovative solutions involving electrical and mechanical challenges;

·       Effective skills to engage and communicate with all stakeholders.

MAIN RESPONSIBILITIES

  • Providing legal support ensuring conditions for financing of acquisition, development and/or construction of RES projects are fulfilled within the group (“Conditions”);
  • Leading VAT financings of the  group’s portfolios, closely co-operating with VAT Lender and it’s advisors and working with the wider structured finance team to ensure VAT financings accommodate senior project financings by the same borrower;
  • Conducting negotiations with financing institutions, including banks, their representatives and advisors (in particular legal advisors and technical
  • Providing legal support ensuring conditions for financing of acquisition, development and/or construction of RES projects are fulfilled within the group (“Conditions”);

    ·       Leading VAT financings of group portfolios, closely co-operating with VAT Lender and it’s advisors and working with the wider structured finance team to ensure VAT financings accommodate senior project financings by the same borrower;

    ·       Conducting negotiations with financing institutions, including banks, their representatives and advisors (in particular legal advisors and technical advisors), regarding project specific conditions precedent and conditions subsequent to the facilities agreements;

    ·       Reviewing legal due diligence reports regarding RES projects from the perspective of their financing and working with the group’s legal advisors to ensure efficient fulfilment of Conditions;

    ·       Maintaining contact with financing institutions and their advisors to ensure efficient fulfilment of Conditions under all existing financial documentation and, where circumstances prevent fulfilment of Conditions, reporting on and managing any necessary waivers/amendments of Conditions under the finance documents;

    ·       Reporting to Head of Project Finance Legal Team on all relevant legal matters related to the development of RES projects and fulfilment of Conditions;

    ·       Providing legal support in establishing new companies belonging to the company, supervising compliance of Polish corporate structure and optimizing it if needed;

    ·       Providing other legal assistance in the field of financing RES projects and corporate services for the company, including solving legal problems, preparing answers to legal questions, taking part in internal meetings, preparing drafts of legal opinions, reports, summaries and/or memorandums as well as drafts of all other formal and legal documents related to the activities conducted by the company

    ·       Representing the group of companies in all courts, law enforcement agencies and/or public administration bodies in all matters, including participation in administrative proceedings and court hearings and meetings, as well as correspondence with the above-mentioned entities in legal matters related to the financing of RES projects and/or corporate support;

    ·       Providing other tasks with support of junior lawyers such as in particular (i) preparing monthly reports in accordance with the requirements of financing entities; (ii) supervising development status of RES projects; (iii) creating databases; (iv) supporting circulation of documents, data rooms organization and archiving of documents within the group of companies.

  • Fluent English
  • Law degree completed in Poland
  • We are looking for candidates open to work 5 days from the office of the company
