CORPORATE LEGAL COUNSEL

For our client, a solid IPP with experience in wind and solar project development in Poland and over 20 years of presence in the country, we are now searching for a Legal Counsel to support and strengthen the legal and governance framework of their team. The ideal candidate must have a fluent level of English, experience in ESG environments, and experience cooperating with banks and institutional stakeholders in large-scale infrastructure projects.

The person in this position will be responsible for continuous legal support for the organization in the scope of ESG and regulatory requirements, as well as for ongoing counseling in corporate and civil matters within a structured governance environment. Additionally, you will:

  • provide ongoing legal opinions and analyses,
  • handle corporate matters, including acting as secretary to the board(s) and preparing resolutions, minutes, powers of attorney and internal governance documentation,
  • prepare and review contracts, articles of association, internal regulations and resolutions, NDAs, annexes and related documentation,
  • elaborate and verify contract documentation and procedural solutions, ensuring proper legal risk allocation and enforceability,
  • cooperate with external legal firms in various matters,
  • monitor and communicate changes in ESG and regulatory frameworks, providing practical legal guidance to the organization,
  • assess legal risk related to ESG issues, corporate matters and the company’s projects,
  • act as Legal Owner of the Corporate Governance Action Plan (CGAP), including coordination, implementation tracking and documentation of governance-related actions,
  • act as Legal Owner of the GDPR/RODO compliance framework, including oversight of policies, documentation and cooperation with relevant internal functions,
  • support cooperation with banks and other financial institutions in relation to legal documentation and compliance matters,
  • follow ongoing changes in legal requirements and translate them into internal standards and governance procedures.

Qualifications:

Legal degree obtained in Poland including the local bar exam (radca prawny or adwokat)
Minimum 6 years of experience in legal support in a similar role
Minimum 2 years of hands-on experience in ESG and compliance-related legal matters
Experience in infrastructure projects, RES or regulated sectors
Experience working in an international or English-dominated environment
High ethical standards and a structured, governance-oriented approach to risk
Fluency in Polish and English is required
